TERMS AND CONDITIONS OF USE FOR THE SERVICES OFFERED ON “TECHEMOTION.COM”

The following Terms and Conditions (“T&C”) govern the use by Users, as defined below, of the services available for purchase through the website www.techemotion.com
(the “Website”), as described in Article 1 below, and offered by Emotion Network S.r.l., with registered office at Via Morigi 3/A, 20123 Milan, Italy (“EN”), the website operator.
By accessing or using the Services, the User (as defined below) fully and unconditionally agrees to be bound by these T&C.

1. Definitions
User: any visitor or individual who accesses or uses the Services available on the Platform.
Agreement: the binding legal relationship governed by these T&C and the registration form available on the Website, as completed by the User.
Registration Form: the form completed by the User at the time of purchasing the Services, which requires the User to provide personal, contact, and payment information.
Platform: the virtual area of the website www.techemotion.com/library, accessible through login credentials after the purchase of the Services.
Services: the annual services and content available on the Platform and purchasable through the Website, which constitute the subject of the Agreement (and may also be sold or granted separately for promotional purposes at EN’s sole discretion). These include, among others, the Essential or Premium membership plans providing access to content such as Masterclasses, Documentaries & Films, Podcasts, and Talks, the latter being accessible through the reserved area of the Platform, in exchange for the Fee that Users agree to pay in accordance with the applicable terms.
Fee: the amount paid by the User for the provision of the Services, under the terms and conditions outlined in the Registration Form.
Access Key/Credentials: a unique identifier (username) and confidential password through which the User may access the Platform and enjoy its inspirational and educational content (including Masterclasses, Documentaries & Films, Podcasts, and Talks).
Force Majeure: any event of force majeure, labor disturbance, sabotage, act arising from public threat, war, invasion, insurrection, riot, fire, storm, flood, ice, earthquake, explosion, epidemic or pandemic, breakdown or accident involving machinery or equipment, or any other cause or causes beyond EN’s reasonable control. This includes any limitation, order, regulation, or restriction imposed by legally established governmental, military, or civil authorities, as well as any need for repairs made necessary by an emergency situation—whether or not listed above—affecting EN’s assets or equipment, or those of third parties under EN’s operational control, that prevents the full, timely, and/or proper provision of the Service(s) by EN.
Privacy Regulations: Italian Legislative Decree No. 196/2003 (the “Privacy Code”), as amended by Legislative Decree No. 101/2018, and its subsequent amendments, as well as EU Regulation No. 679/2016 (“GDPR”).

2. Subject
2.1 These T&C govern the provision of the Services to the User, under the conditions set forth below.
2.2 By completing the Registration Form in relation to the selected Services, accepting the documentation presented to the User (including these T&C), and subsequently paying the applicable Fee, the sales contract between the parties is deemed to be concluded, and EN shall accordingly provide the Services to the User.
2.3 Each Service may, at EN’s sole discretion, be provided separately and/or free of charge for promotional purposes.

3. Intellectual Property
3.1 EN owns, or lawfully holds, all intellectual property rights relating to the content of the Services, as well as to any trademarks, symbols, names, and all related technical components.
3.2 The User agrees not to reproduce, whether permanently or temporarily, in whole or in part, the content of the Services by any means or in any form. The User also agrees not to reproduce, even partially, duplicate, copy, sell, lease, or otherwise exploit the Services or any of their individual components for commercial purposes, nor to make them accessible or share them with multiple individuals, or to develop any products or applications of any kind based on the Services.
3.3 Any material provided in the course of the Service is for the exclusive personal use of the User and may not be distributed or transferred to third parties.

4. Purchase of Services
4.1 Upon payment of the Fee, under the terms and payment methods indicated in the Registration Form for each selected Services, the User will gain access to the Services and the content available on the Platform.
4.2 In the event of late payment, the User shall be required to pay statutory default interest on the amounts due and to reimburse EN for any expenses incurred in recovering such amounts.

5. Use of Services
5.1 Following the purchase of the Services, EN will provide the User with Access Credentials, through which the User may access and use the Platform’s content in accordance with the procedures outlined in the relevant communication and in these T&C.
5.2 EN reserves the right not to proceed with the provision of the selected Service, by notifying the User at the email address indicated in the Registration Form. In such case, EN will refund the amount already paid by the User, excluding any other compensation or indemnity, including reimbursement of any ancillary expenses incurred by the User in connection with the use of the Services.
5.3 At its sole discretion, and in addition to cases of Force Majeure, EN reserves the right to modify the Platform, dates, duration, speakers, and/or the methods of accessing and delivering the content. Failure to provide the purchased Service for reasons other than cancellation by EN shall not entitle the User to any refund or compensation.
5.4 For the resolution of any technical issues encountered while accessing training events, as well as for any matters related to the certification of educational credits (where applicable), the User may contact EN’s remote support service by emailing the help center at [email protected].
5.5 The User undertakes to keep the Access Credentials confidential and secure with the utmost care and diligence. The User is strictly prohibited from transferring the Access Credentials to any third party, for any reason, or otherwise allowing third parties to access the Services. In the event of theft and/or loss of the Access Credentials, the User must promptly notify EN in writing so that they can be deactivated and replaced without delay, by contacting the help center at [email protected].
5.6 In case of any malfunction, suspension, and/or interruption of the Services for technical reasons, the User must notify EN without delay—and in any case no later than 48 hours from the occurrence of the disruption—by certified email (PEC), indicating in the subject line the title of the purchased service and the User’s name.

6. Certificate of Participation
6.1 The certificate of participation, if included in the selected Service, will be issued upon completion of the full participation or use of the Service.

7. Duration
The Services included in the Essential or Premium membership plans—unless otherwise specified for Services sold or granted separately at EN’s discretion—are valid for a period of one year. Upon expiration, the User may renew access by making a new purchase.

8. Limitation of Liability
8.1 EN shall not be held liable for any damages of any kind that the User may suffer as a result of participation or non-participation in the Service, where such damages arise from Services' delays, suspensions, interruptions and Platform's defects, and/or malfunctions—whether total or partial, temporary or permanent—, caused by circumstances not attributable to EN. This includes, but is not limited to:
a) malfunctions of the Platform resulting from:
(i) intentional or negligent conduct by the User, including failure to update software or failure to accept pop-ups required for the proper functioning of the Platform;
(ii) breakdowns and/or malfunctions of the User’s equipment, systems, or devices of any kind;
b) suspension and/or interruption of internet connectivity by the network provider;
c) network and/or server failures caused by fortuitous events or Force Majeure;
d) non-recognition of educational credits for any courses accredited by professional associations or bodies.
8.2 Without prejudice to the foregoing, and except for cases of willful misconduct or gross negligence where liability cannot be excluded under applicable law, EN’s total liability shall in any event be limited to the amount of the Fee actually paid by the User for the purchase of the Service.

9. Right of Withdrawal for Consumer Customers
9.1 If the User qualifies as a consumer pursuant to Article 3 of Italian Legislative Decree No. 206/2005 (the “Consumer Code”), they may withdraw from the Agreement within 14 days from its conclusion by sending notice (i) by registered letter with return receipt to Emotion Network S.r.l., Via Morigi 3/A, 20123 Milan, Italy, or (ii) by certified email (PEC) to [email protected].
9.2 The User may not exercise the right of withdrawal if the provision of the Services has begun during the withdrawal period at the User’s request, and the User has expressly acknowledged and accepted the consequent loss of the right of withdrawal. In such cases, EN shall send the User confirmation of the prior express consent and acceptance, in accordance with Article 59, paragraph 1, letter (o) of Legislative Decree No. 206/2005.

10. Express Termination Clause
10.1 EN shall have the right to terminate the Agreement pursuant to Article 1456 of the Italian Civil Code in the event of the User’s breach of the obligations outlined in Articles 3, 4, and 5 of these T&C.
10.2 The User is expressly prohibited from transferring to third parties, in whole or in part, any rights arising from the Agreement, as well as from sharing or assigning the Access Credentials. Any such conduct shall result in the immediate termination of the Agreement and may give rise to a claim for damages.

11. Communications
11.1 All communications between the parties shall be sent by registered mail to Emotion Network S.r.l., Customer Service, Via Morigi 3/A, 20123 Milan, Italy, or by certified email (PEC) to [email protected]. Communications addressed to the User shall be sent to the contact details provided in the Registration Form.
11.2 Any theft, loss, or unauthorized appropriation of the Access Credentials by third parties must be promptly reported by the User via email to the address indicated in Article 5.5.

12. Processing of Personal Data, Information Notice, and Reference
12.1 The User’s personal data will be recorded in electronic databases and/or paper archives owned by Emotion Network S.r.l., the data controller, with registered office at Via Morigi 3/A, 20123 Milan, Italy. Such data will also be stored on servers located within the territory of countries belonging to the European Union (EU) and will be processed by personnel authorized by data controller for administrative and accounting purposes, in full compliance with applicable Privacy Regulations.
12.2 The User may, at any time, exercise the rights granted under EU Regulation 679/2016, including the right to access their data and request its update or deletion in case of unlawful processing, as well as the right to object to the processing of their data for advertising, direct sales, or commercial communication purposes. Such requests must be submitted in writing to: Emotion Network S.r.l., Via Morigi 3/A, 20123 Milan, Italy.
12.3 The User is required to review the full privacy notice available on the website www.techemotion.com under the Privacy Policy section.

13. Governing Law and Jurisdiction
13.1 The Agreement shall be governed by and construed in accordance with Italian law. Any dispute arising in connection with the interpretation, performance, or termination of the Agreement shall fall under the exclusive jurisdiction of the Court of Milan, Italy.

14. Specific Approval
14.1 The User expressly acknowledges and approves the following clauses: 3 (Intellectual Property), 4 (Purchase of Services), 5 (Use of Services, with particular reference to §§ 5.2 and 5.3), 7 (Duration and Renewal of the Subscription), 8 (Limitation of Liability), 9 (Right of Withdrawal for Consumer Customers), 10 (Express Termination Clause), 12 (Processing of Personal Data), and 13 (Governing Law and Jurisdiction).
